Document Description
This Confidentiality and Non-Circumvention Agreement is intended to serve as a valuable resource for DMCs when working with their suppliers...especially those suppliers that are unable or unwilling to sign a comprehensive master vendor agreement (or similar document) that incorporates these substantive terms.
This document classifies the relationship (and the information exchanged) between DMC and its supplier as confidential and, most importantly, prohibits the supplier from working directly with DMC's client under defined circumstances.
The last page of this document also contains a non-solicitation provision that may be inserted into the body of the agreement before or after the non-circumvention section. This provision prevents the supplier from soliciting DMC’s employees for hire.
